B2B Supply Standards & Export Governance
Designed for commercial fleet managers, resort developers, municipal buyers, and international procurement agencies. These conditions define your rights, manufacturing milestones, and product warranties.
01 Scope & Commercial Definitions
This agreement governs the sale, OEM customisation, export handling, and after-sales warranty support of electric golf carts, passenger shuttles, and utility vehicles manufactured by EAYS Electrics.
- "Manufacturer" refers to EAYS Electrics, registered in Bhiwani, Haryana, India.
- "Buyer" refers to commercial enterprise customers, international distributors, resort operators, and institutional purchasers.
- "Vehicle" refers to any 2–14 seat low-speed electric cart, solar hybrid buggy, or cargo utility cart supplied under contract.
- "Proforma Invoice (PI)" constitutes the binding commercial document defining build specifications, battery pack type, delivery incoterms, and total value.
02 OEM Customisation & Technical Sign-off
To ensure total compliance with operational requirements, all commercial orders undergo engineering review before production begins.
- Technical Specification Sheet: Seating configuration, motor rating (4kW, 5kW, or 7.5kW AC), battery chemistry (Lead-Acid vs. LiFePO4), canopy design, and rear deck structure are frozen upon PI sign-off.
- Engineering CAD Approval: For custom utility bodies or modified passenger entry layouts, engineering CAD drawings must be formally approved by the buyer prior to chassis fabrication.
- Colour & Branding Matching: Body color matching is performed using standard RAL or Pantone color codes. Custom logo decals are printed using weather-resistant UV-cured film.
03 Commercial Pricing & Payment Incoterms
All price quotes are issued in USD, EUR, or INR as detailed in the official commercial quotation.
- Commercial Quotes: Quotations remain valid for 30 calendar days from issue date unless affected by raw material price volatility or international shipping rate adjustments.
- Standard B2B Payment Terms: 30% to 50% advance deposit via Telegraphic Transfer (T/T) to initiate raw material allocation and manufacturing; remaining balance payable prior to factory dispatch or against Irrevocable Letter of Credit (L/C at Sight).
- Taxes & Customs Duties: For export orders (FOB / CIF / CFR), international buyers are responsible for import customs duties, local VAT, and destination port clearance fees unless DDP terms are specifically agreed upon.
04 Production Milestones & Factory Inspection
Quality assurance is embedded at every stage of the frame welding, powder coating, drivetrain integration, and electrical testing process.
- Build Lead Times: Standard fleet orders (4 to 20 units) require 15 to 25 working days from advance deposit receipt and technical drawing sign-off.
- Pre-Delivery Inspection (PDI): Every vehicle undergoes a 50-point PDI test covering brake efficiency, water resistance, gradient climbing under full ballast load, BMS balancing, and wheel alignment.
- Third-Party Factory Inspection: Commercial buyers have the right to appoint independent inspection agencies (e.g., SGS, TUV, Bureau Veritas) for pre-shipment audit at the factory.
05 International Logistics, Packing & Container Loading
Vehicles are secured inside ocean freight containers using steel wheel chocks, heavy-duty ratchet tie-down straps, and protective rust-inhibiting foil covers for international transit.

Note: Risk of loss passes to the buyer upon delivery of the goods to the ocean carrier at the loading port for FOB terms, or upon vessel discharge for CIF terms as governed by Incoterms 2020.
06 International Limited Warranty Coverage
EAYS Electrics provides a comprehensive 1-Year (12-Month) Factory Limited Warranty for commercial buyers across all global export destinations.
- Galvanised Steel Frame & Chassis: 3-Year structural guarantee against corrosion and weld fracture under normal operating conditions.
- AC Drivetrain & Controller: 12-Month full replacement warranty for AC brushless motors, speed controllers, and onboard chargers.
- Traction Battery Packs: Lead-Acid packs carry a 12-Month pro-rata warranty. Lithium LiFePO4 packs carry up to 36-Month extended cell manufacturer warranty (subject to contract specification).
- Exclusions: Wear-and-tear items (tyres, brake pads, light bulbs, seat covers damaged by puncture, glass windshield breakages post-delivery) are excluded.
07 Spare Parts Availability & Technical Support
We maintain guaranteed spare part availability for a minimum of 7 years post-vehicle delivery to prevent fleet downtime.
- Fast-Track Spare Parts Courier: Critical replacement components (BMS boards, controllers, relays, brake master cylinders) are dispatched via DHL/FedEx air freight within 48 hours of ticket log.
- Remote Diagnostic Assistance: Our senior EV technicians provide video-call diagnostics, electrical schematic guidance, and controller troubleshooting for buyer maintenance crews.
- Consumables Maintenance Package: Fleet orders of 10+ units include a complimentary starter kit of brake shoes, fuses, charging connectors, and suspension bushings.
08 Intellectual Property, Governing Law & Dispute Resolution
All vehicle design patents, frame geometry CAD files, trade dress, website documentation, and engineering schematics remain the exclusive intellectual property of EAYS Electrics. Unauthorized reproduction of vehicle chassis design or reverse engineering of controller software is strictly prohibited.
This agreement shall be governed by and construed in accordance with the laws of India. Any commercial dispute, controversy, or claim arising out of or relating to international contract performance shall be resolved through amicable negotiation. If unresolved within 45 days, the dispute shall be submitted to binding international commercial arbitration under the rules of the International Chamber of Commerce (ICC) or the Arbitration and Conciliation Act of India, with proceedings conducted in the English language.
